If you're converting to DVD (MPEG2 is indeed required for DVD if you
desire quality), and there's a second transponder delivering you an
MPEG2 stream of the same channel/program, why don't you just use the
latter stream instead of converting the H.264 into MPEG2? The TV
station may even have better (down-)conversion capabilities than you.
B-frames and such may be a consideration, but you haven't elaborated on
the details of the MPEG stream.
(Okay, you do have to recode the MP3 audio into PCM/MP2/A52 for
compatibility.)
