Thaks a lot, I have solved it, my mistake about the -oac copy:
mencoder -oac copy -ovc lavc -sub Milk.2008.DivX.srt -subfont-text-scale 3
-subpos 95 -ass -ffactor 1 -sub-fuzziness 0 -font verdanab.ttf
-subfont-outline 1 -subcp cp1250 Milk.2008.DivX.avi -o
Milk.2008.DivX.LEG.avi
