You seem to have missed that -ab 8 works fine. Its -ab 12 that fails.
And anyway my command did set the sample rate explicitly:
ffmpeg -i utc_1434.mpg -b 80 -vcodec wmv1 -acodec mp3 -ar 8000 -ab 12 -y
out.wmv
