I'm having trouble converting a file. The first pass goes fine, but the second

mencoder $1 -ovc lavc -lavcopts vcodec=mpeg4:mbd=2:trell:vpass=2 -oac
copy -o $1.avi

gives result

success: format: 0 data: 0x0 - 0x73778876

What do I need to do in compiling / using mencoder?
