Nevermind, I figured out the problem.  The device doesn't like bframes. 
adding 'max_bframes=0' fixed the problem.  Whats weird is that the mencoder
man pages says that max_bframes _defaults_ to 0:

"max_bframes=<0-4> 
Maximum number of B-frames to put between I/:P-frames (default: 0)."

Maybe the manual should be updated?  Sorry for the noise (previous post).
