Assuming that you also want an MPEG container, as well as an MPEG-2
codec (and that I haven't forgotten something important):

mencoder input.wmv -oac <any valid audio codec> -ovc lavc -lavcopts 
vcodec=mpeg2video -of mpeg -o output.mpg

That's a very basic example, and won't produce very good output, but the
rest is simply a matter of refining from there - you can quite possibly
do a better job of it yourself, by experimenting with various options,
than I would be able to do without a copy of the same source WMV file.
