Oki, I have found it.
Dunno if it was intentional, but this is problem of ffwmav2 audio 
codecs, which is under status  untested and assigned to format 0x161. 
Whne using codec divx, everything is ok. Solution comment line 1472:
audiocodec ffwmav2
  info "DivX audio v2 (ffmpeg)"
  status untested
#  format 0x161   <-----------------
  driver ffmpeg
  dll "wmav2"

But why it complains about interlacing, AFAIK interlacing is only video 
matter, isnt it?
