I think what you are looking for is the filter -vop expand=nwidth:nheight:x:y
where nwidth is the width of your 16:9-movie, nheigth=nwidth*3/4 and x=0. y
should be (heigth-nheight)/2.

To encode a 640x390-Movie:

mencoder 16-9.avi -o 4-3.avi -oac copy -ovc lavc \
   -lavcopts vcodec=mpeg4 -vop expand=640:480:0:45
