Seeing as how MEncoder is a MOVIE encoder, I doubt it will do what you are trying.  You *might* be able to use just lame, check the docs that came with it, not sure whether it supports wma.

Another way is to use MPlayer to dump the audio to PCM (I think.. been awhile since I used...) and then use lame to encode to MP3.
mplayer <wma file> -dumpaudio
lame <options> <audio dump file>
