Because MEncoder's lavf muxer is largely broken, where B-frames are
concerned.  With a constrained playback device (or software), which only
supports 1 b-frame to begin with, perhaps that's not a big enough
loss to matter to you.  Otherwise, it's MP4Box, or mpeg4ip for muxing.
