Though you haven't provided remotely enough information, I'm willing to
guess that the video you're encoding is interlaced, and you're not
telling mencoder to deinterlace it in any way.  Premiere may look at the
flags in the video and automatically deinterlace it, or at the very
least perform interlaced-mode re-scaling of the picture.

Next time, provide a segment of the source file so someone can
reproduce your problem(s), *not* the output after it has been encoded...
 I'm sure everyone believes you when you explain what you're seeing in
the resulting files.  And just as importantly, you need to provide the
full verbose (-v) output of mencoder.
