[MEncoder-users] How to convert an audio file?

I have a realaudio file, created with "mplayer -dumpstream $URL". My
audio player (foobar2000) can not play it at all, and mplayer can not
seek in it. So I wanted to convert it to mp3.
My attempt[1] using mencoder for that task didn't lead to success.
Any suggestions / dirty tricks how I could achieve this goal even if
mencoder is not capable of handling audio-only files?
Btw. why can mencoder do an audio-only output (-of rawaudio) but can't
handle audio-only input?
PS: I use the Windows versions of mplayer/mencoder.
