Wont work for me:

Error while opening codec for output stream #0.1 - maybe incorrect 
parameters such as bit_rate, rate, width or height

Either you actuallu used another command line, or the problem is 
different properties for your source mp4 and my source mpg. Could you 
retry, and post the full output? TIA.
