Those were wrong parameters, sorry about that.
Try this -
ffmpeg -i $input -threads <Well you know..> -mbd rd -flags +mv4+aic
-trellis 2 -cmp 2 -subcmp 2 -g 300 -pass 2 -vcodec mpeg4 -ac 2 -aq 2
-acodec libmp3lame $output.avi
