[FFmpeg-user] problems convert mov to mp4

command how to convert from mov to mp4, I have problems when I use this
command

-i INPUT.MOV -acodec libfaac -ar 44100 -ab 128k -coder ac -me_range 16
-sc_threshold 40 -vcodec libx264 -b 512k -g 250 -r 25 -s 500x300 -cmp
+chroma -partitions +parti4x4+partp8x8+partb8x8 -i_qfactor 0.71 -keyint_min
25 -b_strategy 1 OUT.MP4

size and the rate that I can be too big and not in accordance with biterate
that I input in the ffmpeg command.
please correct me and help for this problem.
